To require the Securities and Exchange Commission to ad-
just certain resubmission thresholds for shareholder pro-
posals.
Be it enacted by the Senate and House of Representa-

tives of the United States of America in Congress assembled,

SECTION 1. SHORT TITLE.

This Act may be cited as the ‘‘Shareholder Protection
4
Act of 2019’’.

SEC. 2. RESUBMISSION THRESHOLDS FOR SHAREHOLDER
6
PROPOSALS.

The Securities and Exchange Commission shall revise
8
section 240.14a–8(i)(12) of title 17, Code of Federal Reg-
9
ulations to—
