AN ACT
To amend the Securities and Exchange Act of 1934 to
amend the definition of whistleblower, to extend the anti-
retaliation protections provided to whistleblowers, and
for other purposes.
Be it enacted by the Senate and House of Representa-

SECTION 1. SHORT TITLE.

This Act may be cited as the ‘‘Whistleblower Protec-
2
tion Reform Act of 2019’’.

SEC. 2. WHISTLEBLOWER.

Section 21F of the Securities Exchange Act of 1934
5
(15 U.S.C. 78u–6) is amended—
6
(1) in subsection (a)(6)—
7
(A) by striking ‘‘(6) WHISTLEBLOWER.—
8
The term’’ and inserting the following:
9
‘‘(6) WHISTLEBLOWER.—
10
‘‘(A) IN GENERAL.—The term’’; and
11
(B) by adding the following new subpara-
12
graph at the end:
13
‘‘(B) SPECIAL RULE.—Solely for the pur-
14
poses of subsection (h)(1), the term ‘whistle-
15
blower’ shall also include any individual who
16
takes
an
action
described
in
subsection
17
(h)(1)(A), or two or more individuals acting
18
jointly who take an action described in sub-
19
section (h)(1)(A).’’; and
20
(2) in subsection (h)(1)(A)—
21
(A) in clause (ii), by striking ‘‘or’’ at the
22
end;
23
(B) in clause (iii), by striking the period at
24
the end and inserting ‘‘; or’’; and
25
(C) by adding at the end the following:

‘‘(iv) in providing information regard-
1
ing any conduct that the whistleblower rea-
2
sonably believes constitutes a violation of
3
any law, rule, or regulation subject to the
4
jurisdiction of the Commission to—
5
‘‘(I) a person with supervisory
6
authority over the whistleblower at the
7
whistleblower’s employer, where such
8
employer is an entity registered with
9
or required to be registered with the
10
Commission, a self-regulatory organi-
11
zation, or a State securities commis-
12
sion or office performing like func-
13
tions; or
14
‘‘(II) such other person working
15
for the employer described under sub-
16
clause (I) who has the authority to in-
17
vestigate, discover, or terminate mis-
18
conduct.’’.
